Propose necessary legal matters related to organizational and internal management activities to the Board of Directors and the Group Executive Board.
Directly draft or coordinate with other departments/units to draft internal regulations, policies, and other important documents.
Draft procedures related to legal operations in internal management, aligned with the department's functions.
Draft documents and prepare files for transactions, and issue standard contract templates arising during the Group’s operations.
Assist departments/units in building management and control systems for subsidiaries and affiliated companies.
Review the legal content of contracts/documents related to internal operations, fundraising activities, and business operations during the implementation, management, and commercial phases of Group projects.
Draft and issue standard contract/document templates for operational, implementation, and business activities.
Advise the Board of Directors, Group Executive Board, and Leadership on legal issues related to management and operations during project execution.
Provide legal consultation on matters related to restructuring of the Group/subsidiaries; listing on the stock exchange; operations of public companies; and fundraising activities for project implementation/commercial purposes.
Advise or support relevant departments/units in handling legal issues with contractors and suppliers during project development and business operations.
Advise or support the sales department in handling legal disputes with customers throughout all business activities.
Advise and support legal matters related to protecting the Group's rights regarding branding and intellectual property.
Provide legal advice and participate in resolving internal disputes and external disputes with individuals or organizations to safeguard the Group’s interests.
Directly or collaboratively provide input on disputes, legal violations, or breaches of internal regulations. Propose appropriate resolution measures.
Represent the Group in litigation across all court levels, execution of judgments, and dealings with competent state authorities to protect the Group’s lawful rights and interests.
Draft and advise on legal procedures and documentation for projects; support resolution of legal issues arising during the legal procedure stages in service of project development and investment.
Advise and propose legal strategies; draft and review legal content of contracts and documents related to property sales, advertising, marketing, and real estate business activities for the Group’s projects.
Advise and propose legal strategies; draft and review legal content of contracts/documents related to all capital mobilization activities including, but not limited to, borrowing, lending, investment cooperation, etc., of project-investing companies and related parties.
Advise, draft, and review legal content of contracts related to the design, construction, procurement of equipment and materials, and construction activities of the Group’s projects.
Provide legal support to departments/units; draft and review legal documents for management and operation of high-rise buildings, residential areas, and other project assets.
Assist in working with clients, partners, contractors, suppliers, investors, and consultants regarding contract signing and execution in project development, construction, and operation.
Propose procedures related to investment and project development activities in accordance with current laws.
Timely update legal information and documents relevant to real estate project procedures.
Coordinate with the Project Development Department to resolve legal procedure issues to ensure project progress.
Carry out necessary legal tasks for the M&A process.
Coordinate closely with relevant departments/units to ensure effective execution of the Group’s M&A activities.
Perform preliminary legal due diligence on potential companies.
Propose legally feasible investment structures post due diligence to ensure legal control and minimize risks.
Review and revise preliminary agreements/contracts in accordance with current laws and the proposed investment structure.
Negotiate and legally review companies to select M&A targets.
Participate in partner negotiations on investment structure and implementation methods while ensuring the Group’s maximum benefit and minimal risk.
Collaborate closely with the Investment Department and relevant departments/units to execute transactions and control potential legal risks during the M&A process.
Review detailed contracts and transaction documents to ensure alignment with the approved investment structure.
Support contract negotiations with partners to finalize details in line with the approved investment structure and safeguard the Group’s interests.
Verify the accuracy and authenticity of legal documents, authority, and roles of all transaction-related parties, including but not limited to state authorities and consultants.
Monitor and update necessary legal documents for the Group’s operations, management, and project execution.
Lead or propose revisions and additions to internal regulations based on updates in the legal framework.
Provide legal policy recommendations to the Group’s leadership and departments/units to ensure legal compliance in all activities.
Maintain, verify, and regularly update the Group’s regulatory document system to meet operational requirements.
Manage, update, and draft authorization documents across the organization.
Advise the Board of Directors and Executive Board on establishing a delegation and authorization framework to ensure legal compliance.
Develop internal authorization documents and provide guidance on delegation across the system.
Identify, analyze, manage, and report risks according to Group directives to ensure effective and continuous risk management across departments/units.
Establish, train, and continuously improve policies and operating procedures to ensure employee awareness and compliance.
Verify internal regulations, identify risks, and propose amendments to mitigate operational issues.
Classify and protect information according to Group policies.
Organize legal training sessions and workshops upon request from the Group or departments/units.
Participate in training and evaluation of real estate consultants during their probationary period.
Develop training programs and workshops on legal content to enhance legal skills across departments/units when requested.
Coordinate with related departments to guide and inspect internal legal compliance.
Manage and coordinate Legal Department activities: personnel and workload.
Decide on the organization and assignment of tasks within the Legal Department.
Coach and develop staff within the department.
Age: 35 – 50 years old.
Education: Bachelor’s degree or higher with at least a Good academic record.
Majors: Law, Economic Law.
Experience: Minimum of 5 years of work experience, including at least 3 years in the real estate sector.
Language Proficiency: Fluent in English (listening, speaking, reading, and writing).
Computer Skills: Proficient in computers, office software, and relevant industry-specific applications.
Skills: Strong communication and presentation skills; persuasive negotiation and litigation skills.
Certifications: Possess a Lawyer Practicing Certificate.
Relevant Knowledge:
Solid understanding of laws on real estate investment, enterprises, investment, bidding, housing, land, labor, and related legislation.
Personal Attributes: Proactive, professional demeanor, and able to perform under high pressure.
